These Terms and Conditions ("Terms") govern your access to and use of the Inventory Keeper App platform, including its website, mobile applications, and related services (collectively, the "Service"), provided by Inventory Keeper App, a corporation registered federally in Canada ("Company," "we," "us," or "our").
By creating an account or using the Service, you ("Customer," "you") agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements and that you have the authority to bind the business on whose behalf you are registering, if applicable.
2. Description of Service
The Service is a subscription-based inventory management platform designed for small businesses (including restaurants, cafes, retailers, and similar operations) to track inventory, costs, and related business operations. Features and availability may vary by plan and may change over time as described in Section 12.
3. Account Registration
- You must provide accurate, current, and complete information when creating an account.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You must notify us promptly at felgamedev@gmail.com of any unauthorized use of your account.
- One account may be used by multiple authorized users within your organization ("tenant"), subject to your subscription plan's user limits.
4. Subscription Plans, Billing, and Payment
- The Service is offered on a subscription basis, billed monthly or annually as selected at checkout.
- All payments are processed through our third-party payment processor, Stripe. We do not store your full payment card details.
- Subscription fees are billed in advance and are non-refundable, except where required by law. See Section 5 (Cancellation).
- You are responsible for all applicable taxes associated with your subscription, unless we are legally required to collect them.
- We reserve the right to change subscription pricing. We will provide at least 30 days' notice of any price increase, which will take effect at your next billing cycle.
- Failure to pay may result in suspension or termination of your account after reasonable notice.
5. Cancellation and Refunds
- You may cancel your subscription at any time through your account settings or by contacting us.
- Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date.
- No refunds or credits are provided for partial billing periods, unused time, or downgrades, except where required by applicable law.
6. Customer Data
- Ownership. As between you and us, you retain all ownership rights to the inventory, business, and operational data you upload or input into the Service ("Customer Data").
- License to Us. You grant us a limited, non-exclusive license to host, process, and display Customer Data solely as necessary to provide and improve the Service.
- Aggregated and De-Identified Data. We may create aggregated and/or de-identified data derived from Customer Data (e.g., industry benchmarking statistics) that does not identify you or any individual. We may use such aggregated/de-identified data for product development, analytics, benchmarking features, and business purposes, including sharing it publicly or with third parties, provided it cannot reasonably be used to identify you.
- Data Export. Upon request, and subject to reasonable technical limitations, we will provide you with a copy of your Customer Data in a standard format for up to 30 days following account termination.
- Data Deletion. Following termination of your account, we will delete or de-identify your Customer Data within a commercially reasonable period, except as required to retain for legal, tax, or accounting purposes.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Attempt to gain unauthorized access to the Service, other accounts, or related systems;

We reserve the right to suspend or terminate accounts that violate this section.
8. Intellectual Property
The Service, including its software, design, branding, and documentation, is owned by the Company and protected by intellectual property laws. Except for the limited rights expressly granted to use the Service, no rights or licenses are granted to you.

- Scheduled maintenance, third-party outages, or unforeseen technical issues may cause downtime.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Company will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, arising from your use of the Service.
- The Company's total aggregate liability arising out of or related to these Terms or the Service will not exceed the amount you paid to the Company in the twelve (12) months preceding the claim.
- Nothing in these Terms limits liability that cannot be limited under applicable law (e.g., liability for gross negligence or willful misconduct, where applicable).
12. Modifications to the Service and Terms
- We may modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where the change is material.

13. Termination
- We may suspend or terminate your access to the Service for breach of these Terms, non-payment, or as required by law, with notice where reasonably practicable.
- You may terminate your account at any time as described in Section 5.
- Sections relating to payment obligations, intellectual property, disclaimers, limitation of liability, and dispute resolution survive termination.
14. Indemnification
You agree to indemnify and hold the Company harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Service, or violation of applicable law.
15. Governing Law and Dispute Resolution
- These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
